Terms of Service

The agreement between you and Wex Labs Limited for using Cusp, the apps, the cloud, the managed model gateway and Cusp Hub.

Last updated

These terms are a legal agreement between you and Wex Labs Limited ("Wex Labs", "we", "us"). Please read them. They're written to be readable, but they're still a contract. A short summary is at the start of each section; the summary isn't part of the terms.

Wex Labs Limited is a private limited company registered in England and Wales under company number 17323403. Our registered office is The Sati Room, 12 John Princes Street, London W1G 0JR, United Kingdom. Our VAT number is [VAT NUMBER, once registered]. You can contact us at legal@cusp.run.

1. Who these terms apply to

In short: if you use Cusp, these terms apply. If you use it for a company, the company is the customer.

1.1 These terms apply when you create a Cusp account, install or run any Cusp software, or use any Cusp service (together, the "Services"). The Services include:

  • the Cusp desktop app, the command-line tool (CLI), the local agent runtime (the "daemon"), the editor extensions, the GitHub Action, the SDKs and the iOS app (together, the "Software");
  • the web app at app.cusp.run, cloud sync, cloud crews, cloud runners and hosted artifacts (together, the "Cloud");
  • the managed model gateway (the "Managed Gateway"); and
  • Cusp Hub, our directory of extensions (the "Hub").

1.2 Using Cusp for an organisation. If you accept these terms for a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation. The organisation is responsible for everyone it lets use its workspace ("Members").

1.3 Consumers. If you use Cusp for purposes wholly or mainly outside your trade, business, craft or profession, you're a "consumer". Some sections apply differently to consumers, and nothing in these terms takes away rights you have by law as a consumer, including under the Consumer Rights Act 2015 and the consumer laws of the country where you live.

1.4 Other documents that form part of these terms:

Our Privacy Policy, Cookie Policy and AI and Model Providers page explain how we handle data. Developers who publish on the Hub also agree to the Hub Developer Terms.

2. Eligibility and accounts

In short: you need to be 18 or over, give accurate details and keep your account secure.

2.1 You must be at least 18 years old to use Cusp.

2.2 You must not use Cusp if you're located in, ordinarily resident in, or acting for a person in a country or region subject to comprehensive UK, EU, UN or US sanctions, or if you're a person named on a sanctions list (see section 19).

2.3 Keep your sign-in details secure and tell us at security@cusp.run straight away if you think someone else has accessed your account. You're responsible for what happens under your account unless it was caused by our failure to take reasonable care.

2.4 One person per account. Don't share sign-in details. Teams should invite Members instead.

3. Invite-only access

In short: while Cusp is invite-only, features can change and some may be removed.

3.1 Access to the Cloud and the Managed Gateway is currently by invitation. Invitations are personal, single-use and can't be sold or transferred.

3.2 During this period the Invite-only Beta Terms also apply. They explain what "beta" means for availability, support and data, and that you're free to talk about Cusp publicly.

4. The Software

In short: we give you a licence to use the apps. Cusp runs on your machine and acts on your instructions.

4.1 Licence. Subject to these terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices you own or control, for as long as you have a Cusp account. You need a Cusp account to use the Software. Team and Enterprise customers may let their Members use the Software under the same licence.

4.2 Restrictions. Except where the law allows it despite this restriction, you must not:

  • copy, modify, translate or create derivative works of the Software;
  • decompile, disassemble or reverse engineer it, except to the extent permitted by section 50B of the Copyright, Designs and Patents Act 1988 or equivalent law;
  • sell, rent, lend, sublicense or redistribute the Software, or offer it as a hosted service to third parties;
  • remove or alter any proprietary notices; or
  • use the Software to build a competing product by copying its features, interface or prompts.

Writing extensions, plugins, hooks, skills, MCP servers or automations that use Cusp's documented interfaces is allowed and encouraged.

4.3 Open-source components. The Software includes open-source components. Their licences, listed in Open-source licences, apply to those components and override this section where they conflict. In particular, where a component is licensed under the GNU Lesser General Public License (such as the JavaScriptCore engine inside the Cusp daemon and CLI), you may modify that component, relink the Software with your modified version, and reverse engineer the Software as far as needed to debug those modifications.

4.4 Updates. The desktop app can check for and install updates. Some updates are needed for security or to keep the Cloud working, and older versions may stop connecting to the Cloud.

4.5 The agent acts on your machine. Cusp's agent can read and edit files, run commands, use the network and call tools and extensions, within the permissions, sandbox and approvals you configure. You decide what it may do. You're responsible for:

  • choosing the permission mode, rules and sandbox settings for each workspace;
  • reviewing changes before you rely on, commit, merge, deploy or publish them;
  • keeping backups and using version control; and
  • the commands, tools, MCP servers and extensions you allow it to run.

Cusp includes safeguards, but no safeguard is perfect. Models can make mistakes, and content the agent reads (such as web pages, issues and files) can try to manipulate it. Don't give the agent access you wouldn't give a capable but fallible new colleague.

5. The Cloud

5.1 The Cloud lets you sync sessions and settings across devices, run sessions and crews on cloud runners, share sessions with your team and publish artifacts. What we store, and for how long, depends on your plan and settings; see the Privacy Policy.

5.2 Cloud runners are isolated compute environments we run for you. They're for running your agent's work. Don't use them for anything the Acceptable Use Policy prohibits, such as cryptocurrency mining, open proxies or attacks on other systems.

5.3 Artifacts. If you turn on sync, artifacts the agent builds for you (for example, a page, document or app) are stored in the Cloud, so they're available on all your devices, and are served from a separate user-content domain. They're private to you until you change who can see them. Public artifacts can be seen by anyone with the link. You're responsible for what you publish, and we may remove artifacts that break these terms or the law (section 15).

6. Plans, subscriptions and payment

In short: paid plans renew automatically until you cancel. You can cancel at any time.

6.1 Plans. Our plans, prices and what each includes are on our pricing page. The price you pay is the one shown when you subscribe, plus any applicable taxes. If you're a consumer, the price we show you will include VAT or any equivalent sales tax that we're required to charge.

6.2 Automatic renewal. Paid plans are subscriptions that renew automatically at the end of each billing period (monthly or yearly) until you cancel. We'll remind you before a yearly plan renews, and before any free trial or introductory price turns into a paid subscription, and we'll send any other reminders the law requires.

6.3 Cancelling. You can cancel at any time in the web app (Account → Billing) or, for subscriptions bought through Apple, in your Apple account settings. Cancelling stops the next renewal; your plan stays active until the end of the period you've paid for. The Refund and Cancellation Policy explains when you can get money back, including your 14-day right to cancel as a consumer.

6.4 Seats. Team and Enterprise plans are priced per seat. Adding seats is charged pro rata for the rest of the billing period. Removing seats takes effect at the next renewal.

6.5 Payment. Payments are processed by Stripe (or, in the iOS app, by Apple). You authorise us and our payment provider to charge your payment method for subscription fees, usage fees and taxes when due. If a payment fails, we'll tell you and try again. If it still isn't paid, we may move your workspace to the Free plan after giving you at least 7 days' notice. Your data and BYOK access stay available.

6.6 Price changes. We may change prices for future billing periods. We'll tell you at least 60 days before a change affects you, and a price increase won't apply to a subscription you already have until at least 6 months after we announce it. If you don't want to pay the new price, you can cancel before it takes effect. If you're a consumer, you can also cancel within a reasonable time after the change without paying the higher price for any further period.

6.7 Taxes. Prices for business customers exclude VAT and other taxes. Business customers are responsible for any taxes on their purchases, other than taxes on our income. Where the reverse charge applies, you're responsible for accounting for VAT.

6.8 Currency. We charge in the currency shown at checkout. Your bank may charge conversion fees.

7. The Managed Gateway and usage fees

In short: if you use our model keys, we pass on the model provider's price and bill usage beyond what your plan includes.

7.1 The Managed Gateway lets you use AI models through our accounts with model providers, instead of your own keys.

7.2 Pricing. Usage is metered per request and priced at the model provider's published rate for the model you use. Your plan includes a usage allowance, shown in the app as a percentage of a weekly allowance; our pricing page explains how the allowance converts to model usage. The allowance carries no extra fee, doesn't roll over and has no cash value. Usage beyond your plan's allowance is priced at the provider's rate plus a 5% fee, whether it's paid from credit (7.8) or invoiced (7.3). The fee is part of the price of that usage, not a charge for a way of paying, and the prices we show for usage beyond your plan include it.

7.3 Usage beyond your plan. On the Free, Pro and Max plans, when your plan's allowance runs out, requests stop, unless you've switched on Use credits when my plan runs out. It's off until you switch it on or buy credit, and you can switch it off at any time. With it on, usage continues from your prepaid credit (7.8), up to your monthly credit limit (7.5). On the Team and Enterprise plans, usage beyond the allowance is billed in arrears with your next invoice (or earlier, when it passes a threshold we've told you about), up to the monthly cap your admins set.

7.4 Welcome credit. We may give a new workspace a one-off credit to try the Managed Gateway, and may ask you to verify your account first. It's for evaluation, can't be transferred or exchanged for cash, and expires at the time shown when we grant it (currently 30 days).

7.5 Limits. Your monthly credit limit, and on Team and Enterprise the monthly cap your admins set, is a hard limit: we won't charge you more than it in a month. If a request that's already running when you reach the limit costs more, we cover the difference. Each plan starts with a default limit shown in the app, which you can lower, raise or remove. Buying credit never raises it. We also apply rate limits and daily caps to protect the service; these can stop requests before your limit is reached.

7.6 Availability of models. Model providers add, change, re-price and retire models. We may change which models the Managed Gateway offers. We'll try to give notice of significant changes, but we can't control providers.

7.7 No reselling. Don't resell or share access to the Managed Gateway, or use it to provide model access to people outside your workspace.

7.8 Prepaid credit. On the Free, Pro and Max plans you can buy prepaid credit for the Managed Gateway, from $20 to $1,000 at a time. The price shown at checkout is the total you pay. Credit is used only while Use credits when my plan runs out is on, after your plan's allowance, for any model, at the rates in 7.2 and up to your monthly credit limit.

Automatic top-up. You can choose to top up automatically: when your balance falls below an amount you set, we charge your saved card the amount you set (from $20 to $500). By turning it on, you authorise us to make these charges without asking you each time. We email a receipt for each one. If a charge is declined, we turn automatic top-up off and email your workspace's owners and admins. You can turn automatic top-up off at any time in the app, which stops further charges straight away.

Cloud runner time. Credit also pays for cloud runner time beyond your plan's included minutes, at the rates shown in the app, under the same switch and monthly credit limit. We ask before a runner starts using credit.

Credit doesn't expire while your account is open. It can't be transferred or exchanged for cash, except that:

  • if you're a consumer, you can cancel any credit purchase, including an automatic top-up, within 14 days and get back the unused part (see the Refund and Cancellation Policy);
  • if we close your account for a reason that isn't your fault, or stop offering the Managed Gateway, we'll refund your unused purchased credit; and
  • if you close your account, we'll refund your unused purchased credit: deleting your account starts the refund automatically.

Credit bought before 25 October 2026 keeps the rules it was sold under until it's used up: it's used automatically after your plan's allowance, at the provider's rate with no added fee, and doesn't count towards your monthly credit limit.

Granted credit. We may add credit to your account ourselves, for example as goodwill, to make up for a problem, or as a promotion. Granted credit isn't purchased credit. It's used first and automatically, for the Managed Gateway and cloud runners, at the provider's rate with no added fee, whether or not Use credits when my plan runs out is on, and it doesn't count towards your monthly credit limit. It expires on the date we give you when we add it, and it has no cash value and isn't refundable.

Welcome credit and included allowances aren't purchased credit and aren't refundable.

8. Bring your own key (BYOK)

In short: with your own keys, your contract is with the model provider.

8.1 You can connect your own accounts with model providers or gateways ("BYOK") on every plan. The provider charges you for model usage; we don't, and we don't take a share of your token spend. Paid plans include unlimited BYOK use. The Free plan includes a monthly allowance of agent actions with BYOK, shown on our pricing page: an agent action is a completed tool call in a session whose model uses your key. We count actions, never their content. When you reach the allowance, the agent finishes its current turn, and you can upgrade or continue with a Cusp model. We'll tell you at least 60 days before we reduce the allowance or introduce any fee for BYOK use.

8.2 When you use BYOK, requests go from your device (or a cloud runner) to the provider under your agreement with that provider. You're responsible for complying with the provider's terms and policies and for paying its charges, including charges caused by an agent you started. We aren't a party to that agreement and aren't responsible for the provider's service, pricing, availability or data practices.

8.3 You confirm you're allowed to use the keys you add. On the desktop, keys are stored in your operating system's credential store. In the Cloud, keys you choose to store for your workspace are encrypted and used only to make requests you or your Members start.

9. Third-party services, models and extensions

9.1 Cusp connects to services we don't control: model providers, search and web services, GitHub and other code hosts, MCP servers, Hub extensions and the tools your agent runs. Your use of them may be subject to their own terms. We're not responsible for them, but we do take steps to make Hub extensions safer (section 14).

9.2 AI and Model Providers explains what model providers receive and how they may use it.

10. Your content and AI output

In short: your code, prompts and the agent's output are yours. We use them only to provide Cusp. We don't train models on them.

10.1 "Your Content" means anything you or your Members put into the Services (code, files, prompts, messages, settings, keys, attachments) and anything the Services generate for you (code, text, images, plans, reviews and other output, together "Output").

10.2 Ownership. As between you and us, you own Your Content, including Output, to the extent the law allows. We don't claim any ownership of it. This doesn't give you rights in our Software or in third-party material that appears in Output.

10.3 Our limited licence. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process and display Your Content only as needed to provide, secure and support the Services for you, including sending it to the model providers and tools you choose, and to comply with the law. This licence ends when Your Content is deleted from our systems, except for backups kept for a limited time (see the Privacy Policy) and anything you've shared publicly or with others, for as long as it stays shared.

10.4 No training. We don't use Your Content to train or fine-tune AI models, and we don't allow providers on the Managed Gateway to do so where we can control it; see AI and Model Providers. We may use aggregated, de-identified usage data (such as token counts, latency and error rates) that doesn't contain Your Content to run, improve and price the Services.

10.5 About Output. AI models produce output based on patterns, so:

  • Output may be wrong, insecure, incomplete or out of date. Review and test it before you rely on it.
  • Similar or identical Output may be produced for other people. We can't promise Output is unique.
  • Output may resemble existing material, including code under open-source licences. You're responsible for checking Output against the licences and rights that apply before you distribute it.
  • In some countries, material generated without enough human creative input may not be protected by copyright. We make no promise that Output is protectable.

10.6 Your responsibility. You confirm you have the rights needed to give us Your Content and to let us process it as described, and that your use of Output complies with the law and these terms.

10.7 Feedback. If you send us ideas or suggestions, we may use them without any obligation to you. This doesn't give us rights in Your Content.

11. Acceptable use

You and your Members must follow the Acceptable Use Policy and the usage policies of the model providers you use through the Managed Gateway, which we list on AI and Model Providers.

12. Confidentiality (business customers)

12.1 Each of us may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each of us will use the other's confidential information only for the purpose of these terms, protect it with reasonable care and disclose it only to people who need to know it and are bound by similar duties, or where the law requires.

12.2 Your Content is your confidential information. Nothing here restricts what you can say publicly about Cusp; see the Invite-only Beta Terms.

13. Privacy and data protection

13.1 Our Privacy Policy explains how we use personal data as a controller.

13.2 Where we process personal data in Your Content on behalf of a business customer, we do so as a processor under the Data Processing Addendum, which forms part of these terms for Team and Enterprise customers, and for any other business customer that asks us for it.

14. Cusp Hub

14.1 The Hub lists extensions (such as skills, plugins, MCP servers, agents, workflows and themes) made by us and by independent developers ("Publishers"). Extensions from Publishers are provided by the Publisher, not by us. The Publisher's licence terms apply to them, and the Publisher is responsible for them.

14.2 We scan, sign and review extensions and show the permissions they ask for, but we don't guarantee that any extension is safe, correct or fit for your purpose. Check what an extension can do before you install it.

14.3 We may remove an extension from the Hub, or disable it in the app, if we reasonably believe it is harmful, unlawful or breaks the Hub Developer Terms.

14.4 If paid extensions become available, extra terms will apply and we'll show them before you buy.

15. Content you host or publish, and our moderation

15.1 Your responsibility. You're responsible for content you publish or host through the Services: public artifacts, shared sessions, Hub listings and reviews, and any site or app you deploy. If what you publish has its own users, you're responsible to them and for their data, and you must follow the law that applies to it.

15.2 How we moderate. To keep the Services safe, we scan Hub extensions before they're published, review reports from users, authorities and our infrastructure providers, and act on what we find. Reported content can be held automatically until a person reviews it. We may remove content, restrict who can see it, hold or suspend it while we review it, or suspend accounts. For confirmed phishing or malware we may suspend the whole account straight away. We keep suspended content for 30 days so you can appeal, then delete it, unless the law requires us to keep it.

15.3 Reporting content. If you see content on the Services that you believe is illegal or breaks these terms, report it with the report link shown on the page, or to abuse@cusp.run. You don't need an account. Tell us the exact address (URL) of the content, why you believe it's illegal or harmful, and your name and email address, and confirm that your report is accurate and made in good faith. We'll acknowledge your report, decide on it promptly and carefully, and tell you what we decided and how you can challenge it.

15.4 If we act on your content. We'll tell you what we did and why: the facts, which rule or law it was based on, and whether we used automated means. We'll also tell you how to challenge the decision, unless the law or a risk of serious harm prevents us. If you disagree, reply to our notice: a person who wasn't involved in the original decision will review it. You can also use any out-of-court dispute settlement body or court available to you.

15.5 Copyright complaints. Send copyright and other intellectual property complaints to legal@cusp.run. If you're in the US, you can also send a notice under the Digital Millennium Copyright Act to our designated agent [DMCA AGENT DETAILS]. We'll forward counter-notices as that Act allows, and we'll close the accounts of repeat infringers in appropriate circumstances.

15.6 Infrastructure providers. Parts of the Services run on infrastructure from other companies, and their acceptable use policies also apply to content you host. If one of them tells us content breaks its rules, we may act on that notice straight away.

16. Suspension and termination

In short: you can leave at any time. We can suspend or close accounts for serious problems, with notice where possible.

16.1 By you. You can stop using Cusp and delete your account at any time under Account → Your data, or by emailing support@cusp.run. Deleting your account deletes workspaces only you belong to and ends their subscriptions immediately, so you won't be charged again. If you're entitled to a refund under the Refund and Cancellation Policy, ask for it before you delete your account. If you're the only owner of a team workspace that has other members, transfer ownership or remove them first.

16.2 By us. We may suspend or end your access to all or part of the Services if:

  • you seriously or repeatedly break these terms or the Acceptable Use Policy;
  • your use creates a security risk, or risks harm to us, other users or third parties;
  • we must do so by law, or a model provider or other partner requires it; or
  • you haven't paid an amount that's overdue after we've given you notice.

We'll give you notice and a chance to fix the problem first, unless the issue is serious, urgent or the law prevents us. Where we suspend instead of terminate, we'll restore access once the problem is fixed.

16.3 Ending a free plan or a beta. We may stop offering a free plan or a beta feature by giving you at least 30 days' notice.

16.4 Ending a paid plan. If we stop offering a paid plan you're on, or end your access for a reason that isn't your fault, we'll refund the unused part of any prepaid fees.

16.5 Switching and export. You can export Your Content from the Cloud at any time in a structured, machine-readable format, and we don't charge for leaving or switching to another provider.

16.6 After termination. You'll have 30 days to export Your Content from the Cloud, unless we ended your access because the law requires it or because of a serious breach. Then we'll delete it as described in the Privacy Policy. The Software on your device and your local data stay with you, but the Cloud and the Managed Gateway stop working. Sections that by their nature should continue (for example 10, 12, 18, 20 and 21) survive termination.

17. Changes to the Services and to these terms

17.1 We improve Cusp all the time and may add, change or remove features. If a change significantly reduces what a paid plan includes, we'll give you at least 30 days' notice and you may cancel and receive a refund of prepaid fees for the unused period.

17.2 We may update these terms, for example to reflect new features or changes in the law. We'll tell you about material changes at least 30 days before they take effect, by email or in the app. If you don't agree, you can stop using Cusp and cancel before the change takes effect. If you're a consumer and the change is to your disadvantage, you can also end your subscription and get a refund of any prepaid fees for the period after the change. Changes required by law or for security can take effect sooner.

18. Warranties

18.1 What we promise. We'll provide the Services with reasonable care and skill. For consumers, the Software and Services will be as described, of satisfactory quality and fit for purpose, as the Consumer Rights Act 2015 requires. If digital content we supply damages your device or other digital content, and that's because we didn't take reasonable care, we'll repair the damage or compensate you.

18.2 What we don't promise. To the extent the law allows:

  • AI Output is provided as it is, and we don't promise it's accurate, complete, secure or fit for any particular purpose (section 10.5);
  • we don't promise the Services will be uninterrupted or error-free, or that every model or third-party service will be available; and
  • Hub extensions and other third-party services are provided by their owners, not by us.

For business customers, the Services are provided "as is" except as expressly stated in these terms or an order form, and all other warranties, conditions and terms implied by statute or common law are excluded to the extent the law allows.

19. Export control and sanctions

19.1 The Software contains encryption and may be subject to UK, EU and US export control laws. You must not export, re-export or transfer the Software or Output in breach of those laws.

19.2 You confirm that you aren't located in, ordinarily resident in, or organised under the laws of a country or region subject to comprehensive sanctions, that you aren't on or owned or controlled by someone on a UK, EU, UN or US sanctions list, and that you won't use the Services for anyone who is. We may block access from sanctioned locations and end accounts that break this section without notice.

19.3 Some model providers don't serve certain countries, or organisations controlled from them. We may restrict the Managed Gateway, or particular models, to comply with their terms.

20. Liability

In short: we're responsible for harm we cause in the ways the law requires, but our liability to businesses is capped.

20.1 What we never limit. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited or excluded by law. Nothing in these terms affects a consumer's statutory rights.

20.2 Consumers. If we fail to comply with these terms, we're responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill. We aren't responsible for loss that wasn't foreseeable. We provide the Services for domestic and private use. If you use them for business purposes, we aren't liable to you for loss of profit, loss of business, business interruption or loss of business opportunity.

20.3 Business customers: excluded losses. Subject to 20.1, we won't be liable to a business customer, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:

  • loss of profits, revenue, business, contracts, goodwill or anticipated savings;
  • loss or corruption of data, code or software, where the loss would have been avoided by keeping backups and using version control; or
  • indirect or consequential loss.

20.4 Business customers: cap. Subject to 20.1, our total liability to a business customer arising out of or in connection with these terms in any 12-month period is limited to the greater of (a) the fees you paid us for the Services in the 12 months before the event giving rise to the claim and (b) £100. Usage fees passed through to model providers count as fees for this purpose.

20.5 Your actions. We aren't responsible for loss caused by actions you approved or allowed the agent to take under the permissions and settings you chose, by your use of Output without reviewing it, or by third-party services and extensions you chose to use, except to the extent the loss was caused by our breach of these terms or our negligence.

21. Indemnity (business customers)

If you're a business customer, you'll defend and compensate us against claims by third parties, and the resulting losses, costs and reasonable legal fees, to the extent they arise from Your Content, your breach of the Acceptable Use Policy or your breach of a model provider's terms through BYOK. We'll tell you about the claim promptly, let you control its defence and co-operate reasonably at your cost.

22. Apps from the Apple App Store

If you got a Cusp app from Apple's App Store, these extra terms apply to that app:

  • These terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content.
  • Your licence to the app is limited to Apple-branded devices you own or control, as allowed by the App Store's usage rules.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to meet any applicable warranty, you can tell Apple, and Apple will refund the purchase price for the app (if any). To the extent the law allows, Apple has no other warranty obligation for the app.
  • We, not Apple, are responsible for any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection claims and claims that it infringes third-party intellectual property rights.
  • You confirm you aren't in a country subject to a US Government embargo or designated as "terrorist supporting", and aren't on a US Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

23. Governing law and disputes

23.1 These terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales.

23.2 Business customers. The courts of England and Wales have exclusive jurisdiction.

23.3 Consumers. You can bring a claim in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring a claim in your local courts. If you live in the European Union or elsewhere, you keep the protection of the mandatory laws of the country where you live and can bring a claim there.

23.4 Please contact support@cusp.run first: most problems can be sorted out quickly.

24. General

24.1 Transfer. We may transfer our rights and obligations under these terms to another organisation, for example if our business is sold. We'll tell you, and this won't reduce your rights. If you're a consumer and unhappy with the transfer, you can cancel and receive a refund of prepaid fees for the unused period. You may not transfer your rights without our written consent.

24.2 Events outside our control. We aren't responsible for delays or failures caused by events outside our reasonable control, such as outages at model providers, hosting or payment providers, network failures, cyberattacks we couldn't reasonably prevent, or government action. We'll tell you and take reasonable steps to limit the effect.

24.3 Whole agreement. These terms (with the documents in 1.4) are the whole agreement between us about the Services. For business customers, each of us agrees we haven't relied on any statement not set out in them. This doesn't limit liability for fraud.

24.4 Third parties. Except for Apple under section 22, no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

24.5 Severability. If a court finds part of these terms invalid, the rest stays in effect.

24.6 No waiver. If we don't enforce a right straight away, we can still enforce it later.

24.7 Notices. We'll send notices to the email address on your account or show them in the app. You can send notices to legal@cusp.run.

24.8 Language. These terms are written in English. If we provide a translation, it's for convenience, and the English version prevails to the extent the law allows.
